- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
- DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE
- DAMAGES RESULTING FROM BUGS, VIRUSES, OR OTHER HARMFUL CODE
12.2 Cap on Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12.3 Basis of Bargain
THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN US.
13. Indemnification
You agree to indemnify, defend, and hold harmless Perpetual Context, Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of any applicable laws
14. Dispute Resolution
14.1 Governing Law
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
14.2 Informal Resolution
Before initiating formal proceedings, you agree to contact us at legal@perpetualcontext.com and attempt to resolve the dispute informally for at least 30 days.
14.3 Arbitration
Any dispute that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Delaware or remotely via video conference.
14.4 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
14.5 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
15. Termination
15.1 By You
You may terminate your account at any time by following the instructions in your account settings.
15.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Extended period of inactivity
- Request by law enforcement
15.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your User Content after a reasonable retention period
- Provisions that by their nature should survive will remain in effect
16. Modifications to Terms

18.7 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet disruptions.
